Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and cliptide (“cliptide”, “we”, “us”, or “our”) and govern your access to and use of the cliptide website, applications, and related services (collectively, the “Service”). Please read them carefully. By creating an account or using the Service you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service, and at least 18 (or the age of majority in your jurisdiction) to make purchases. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Authentication is provided through our identity partner, Clerk.

3. License to Use the Service

Subject to your compliance with these Terms, cliptide grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. You may not resell, sublicense, or provide the Service as a stand-alone offering to third parties.

4. Acceptable Use

You agree not to use the Service to: (a) infringe any copyright, trademark, right of publicity, or other intellectual property right; (b) generate deepfakes, non-consensual synthetic media, or content that impersonates a real person in a deceptive manner; (c) create, upload, or distribute content that is unlawful, defamatory, harassing, sexually explicit involving minors, or that incites violence; (d) attempt to reverse engineer, scrape, or overload the Service; or (e) use the Service to build a competing product. You are solely responsible for ensuring you have all rights necessary to process any video you submit.

5. User Content

You retain ownership of all content you submit to the Service, including source video URLs and the clips we generate on your behalf (“User Content”). You grant cliptide a worldwide, royalty-free license to host, process, transmit, and display your User Content solely as needed to operate and improve the Service. You represent and warrant that you have the rights needed to grant this license and that your User Content does not violate these Terms or any law.

6. Our Intellectual Property

The Service, including all software, models, designs, logos, and the cliptide name, is owned by cliptide or its licensors and is protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

7. Payments and Billing

Paid plans are billed through Paddle.com Market Limited, which acts as the Merchant of Record for purchases made through the Service. Paddle handles payment processing, invoicing, taxes, and VAT on our behalf. By purchasing a plan you also agree to Paddle’s buyer terms. All prices are stated in the currency displayed at checkout and are exclusive of taxes unless noted.

8. Subscriptions

Paid plans renew automatically at the end of each billing cycle until cancelled. You may cancel at any time from your account settings; cancellation stops future renewals but does not entitle you to a refund for the current billing period except as described in our Refund Policy. Usage allowances reset at the start of each billing cycle and do not roll over.

9. Refunds

Refunds are governed by our Refund Policy. In summary, we offer a 7-day money-back guarantee on the first paid month. Pro-rated refunds are not offered.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if your account is inactive for an extended period, or if we are required to do so by law. Upon termination, your right to use the Service ends and we may delete your User Content after a reasonable grace period.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that any clip generated will achieve any particular result, viewership, or engagement.

12. Limitation of Liability

To the maximum extent permitted by law, cliptide’s aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to cliptide in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100). In no event will cliptide be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.

13. Indemnity

You agree to defend, indemnify, and hold harmless cliptide and its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from or relating to these Terms, and you consent to personal jurisdiction in those courts.
